1- Terms of Use
These Terms of Use govern your use of our website aykhidmah.com (the "Website") and our mobile applications "Ay Khidmah" "Ay Khidmah Seller," and "Ay Khidmah Driver" (the "Apps"). The Website and the Apps are collectively referred to as the "Platforms."
Please read these Terms carefully before using the Platforms. If you do not agree to these Terms, you may not use the services available on the Platforms or the App(s), and we request that you uninstall the App(s) in accordance with the terms of your agreement with Ay Khidmah Platform/App.
If you have a contract with Ay Khidmah Platform and agree to the terms of the contract, in accordance with the regulations of the Ministry of Commerce in the Kingdom of Saudi Arabia, you are entitled to benefit from all services and policies such as (Cancellation Policy, Refund Policy, Privacy Policy, etc.), which come into effect from the date of registration and subscription to the Platform/App.
Ay Khidmah Platform/App is used by:
(1) Natural persons who have reached the age of 18 years.
(2) Institutional legal entities (companies, institutions).

Use of the Platform and Services
- Commercial/contractual terms such as (price, taxes, shipping costs, payment methods and conditions, delivery date, period and method, product warranties, and after-sales services) are agreed upon between the buyer and the merchant alone. Ay Khidmah operates the Platform/App for e-commerce and acts as an intermediary between the seller and the buyer, and is not entitled to take over the transaction between a buyer and a seller.
- Ay Khidmah Platform may provide technical support services to merchants regarding order fulfillment, payment collection, call center services, and other services, in accordance with independent contracts executed with the merchants.
- Ay Khidmah Platform/App is not responsible for the non-execution or breach of any contract concluded between the buyer and the merchant on the Platform. It is also not responsible for unsatisfactory services, non-performance of services, or damages or delays due to products being out of stock and unavailable and re-ordered.
- Ay Khidmah Platform/App is not responsible for the quality of the products displayed on the Platform/App, or for the buyer's satisfaction with the products or the level of their expectations, as all of this is the responsibility of the merchant or seller.
- Ay Khidmah Platform/App is not responsible for the details of the product in terms of design, material, price, or other specifications, as the Platform/App relies on the information provided by the merchant about their products. Therefore, the merchant is fully responsible for all images and data sent by them about the products, and the Platform/App is not responsible for any differences or inconsistencies in this regard.
- The merchant must temporarily close the store if he is unavailable. If the temporary closure is not implemented, we will temporarily close the store and claim any amounts incurred.

Personal Information You Provide
If you wish to join Ay Khidmah Platform/App (merchant, buyer, delivery representative), do the following:
- Create an account on the Website/App.
- Enter personal identification data (name, last name).
- Contact information (mobile phone number, email address).
- Demographic information (country, city, and zip code).
- We allow you to submit additional information that will be part of your profile. Other than the basic information we need to create your account, it will be up to you to decide how much information you want to share as part of your profile. We encourage you to think carefully about the information you share and recommend that you protect your identity and sensitive information. Of course, you can review and revise your profile at any time.
- Bank information (bank name, bank account number, and bank country). This information is required from the merchant.
- Information required from the buyer:
When paying, you are asked to provide your credit card or payment card details when you proceed to the payment gateway, and in this regard, you agree to provide the correct card details.
Also, the information you provide may not be used or shared with any third party unless required in connection with fraud verification or by law, regulations, or court order. You will be solely responsible for the security and confidentiality of your credit/debit card details.
You (the buyer) understand that the delivery times specified to you at the time of order confirmation are an approximate estimate and may vary. We (Ay Khidmah Platform/App) will not be liable for any delay in the delivery of your order due to delays on the part of the seller/merchant in processing the order or any other unavoidable circumstances.
Your order will only be delivered to the address you specified at the time of placing the order on the Platform. We (Ay Khidmah Platform/App) reserve the right to cancel the order, at our sole discretion, if there is any change in the delivery location, and you will not be entitled to a refund of any amount for this.
- Delivery in case of changing the delivery location is at our sole discretion, and we reserve the right to charge additional delivery fees if necessary.
- You must undertake to provide sufficient guidance, information, and authorizations to accept delivery. In the event of any failure to accept delivery, or failure to deliver within the estimated time due to your failure to provide appropriate instructions or authorizations, these goods will be deemed to have been delivered to you and all risks and responsibilities in respect of such shall pass to you and you shall not be entitled to a refund of any monies in respect thereof. Our decision in this regard shall be final and binding. You understand that our responsibility ends once your order is delivered to you.
- You must choose the shipping address of the receiving location when you proceed to checkout and pay, and if you do not choose the shipping of the receiving location, the seller has the right to cancel your order.
- You may not use a credit/debit card that you do not legally own, i.e., in any transaction, you must use your own credit/debit card.
- We, Ay Khidmah Platform/App, expressly disclaim all liability that may arise as a result of any unauthorized use of your credit/debit card.
- You agree that services will be provided by us only during the business hours.

Prohibited Activities on the Platform (Specific to Merchants)
The following is a partial list of the types of illegal or prohibited conduct on the Websites. Ay Khidmah reserves the right to investigate and take appropriate legal action against anyone who, in Ay Khidmah's sole discretion, engages in any of the prohibited activities. Prohibited activities include, but are not limited to:
-  Using the Websites for any purpose that violates laws or regulations.
-  Posting content that infringes upon the intellectual property rights, privacy rights, publicity rights, trade secret rights, or any other rights of any party.
-  Posting content that is unlawful, obscene, defamatory, threatening, harassing, abusive, libelous, hateful, or embarrassing to any other person or entity as determined by Ay Khidmah in its sole discretion or according to local community standards.
-  Posting content that constitutes online bullying, as determined by Ay Khidmah in its sole discretion.
-  Posting content that depicts any dangerous, life-threatening, or high-risk behavior.
-  Posting anyone's phone numbers, street addresses, or last names.
-  Posting URLs to external websites or any form of HTML or programming code.
-  Posting anything that could be "unwanted," as determined by Ay Khidmah in its sole discretion.
-  Impersonating another person when posting content.
-  Harvesting or collecting information about others, including email addresses, without their consent.
-  Allowing any other person or entity to use your identity to post or view comments.
-  Harassing, threatening, stalking, or abusing anyone.
-  Engaging in any other conduct that restricts or inhibits any other person from using or enjoying the Websites, or which, in the sole discretion of Ay Khidmah, exposes Ay Khidmah or any of its customers or suppliers or any other parties to any liability or damage of any kind.
-  Encouraging other people to participate in any prohibited activities as described herein.
Ay Khidmah reserves the right, but is not obligated, to do any or all of the following:
-  Investigate a claim that any content posted on the Websites does not comply with the Terms of Use in its sole discretion, and remove or request the removal of the content.
-  Remove content that is abusive, illegal, disruptive, or that does not comply with these Terms of Use.
-  Terminate a user's access to the Websites upon any breach of the Terms of Use.
-  Monitor, edit, or disclose any content on the Sites.
-  Edit or delete any content posted on the Sites, regardless of whether such content violates these standards.

Modifications
Ay Khidmah reserves the right to change or modify these Terms (including our policies incorporated in these Terms) at any time by posting the changes on the Platform. We strongly advise you to read these Terms regularly. You will be deemed to have agreed to the amended Terms by your continued use of the Platforms after the date on which the amended Terms are posted.

Payment
Ay Khidmah reserves the right to offer additional payment methods and/or remove existing payment methods at any time in its sole discretion. If you choose to pay using an online payment method, the payment will be processed by our third-party payment service provider(s). With your consent, your credit card/payment information will be stored with our third-party payment service provider(s) for future orders. Ay Khidmah does not store your credit card or payment information. You must ensure that you have sufficient funds in your credit and debit card to fulfill payment of an order. To the extent required, Ay Khidmah is responsible for payments made on our Platforms including refunds, chargebacks, cancellations and dispute resolution, provided that it is reasonable, justified and in accordance with these Terms.

Cancellation
Ay Khidmah can cancel any order at any time due to unavailability of products or outside the coverage area or any other unavoidable circumstances.
